"SimpleAI", "we", "us", and "our" refers to SimpleAI, a digital services provider offering website development, AI systems, automation services, and related digital products.

"Client", "you", and "your" refers to any individual or business purchasing or using our services.

SimpleAI provides services including, but not limited to:

• • AI chatbot creation
• • Automation systems
• • Hosting and maintenance packages
• • Digital consulting
• • Related digital products and services

Service details, pricing, and deliverables are outlined on our website, invoices, proposals, or payment pages.

All payments are processed through secure third-party providers (such as Stripe).

One-off payments:

• • Must be paid in full before project commencement unless otherwise agreed.
• • Are non-refundable once work has begun.

Subscription payments:

• • Are billed monthly unless cancelled.
• • Grant continued access to hosting, systems, maintenance, and support.
• • Failure to pay may result in suspension or removal of services.

You authorise SimpleAI to charge the selected payment method according to the chosen plan.

Due to the digital and custom nature of our services:

• • Payments are non-refundable once work has started.
• • Setup fees and handover builds are strictly non-refundable.
• • Subscription services can be cancelled at any time but do not generate retroactive refunds.

If an error has occurred, please contact us and we will assess the issue fairly.

You agree to:

• • Provide accurate information and content
• • Respond in a reasonable timeframe
• • Ensure you have rights to all materials you provide
• • Review and approve work promptly

Delays in communication may delay project timelines.

Upon full payment:

• • Custom website builds are licensed to the client.
• • SimpleAI retains the right to display work for portfolio and marketing purposes.

SimpleAI retains ownership of:

• • Internal systems
• • Frameworks
• • Code libraries
• • Automation structures
• • AI prompt systems

unless explicitly transferred in writing.

If you are on a monthly plan:

• • Your website and systems remain active only while payments continue.
• • Cancelling a subscription may result in suspension or removal of hosting, AI systems, and connected services.

Handover packages include delivery of agreed files but do not include ongoing hosting or management unless purchased.

SimpleAI is not liable for:

• • Loss of profits or revenue
• • Data loss
• • Business interruptions
• • Third-party service outages
• • Misuse of AI systems

All services are provided "as is". We do not guarantee specific business results.

AI tools may generate unexpected or incorrect outputs.

The client is responsible for:

• • Reviewing AI outputs
• • Monitoring live systems
• • Ensuring compliance with applicable laws
• • All actions taken based on AI-generated information

SimpleAI is not liable for decisions made using AI systems.

We reserve the right to refuse or terminate service if:

• • Abuse or harassment occurs
• • Illegal activity is suspected
• • Payments are not made
• • These Terms are breached

Any non-public information shared during projects will be treated as confidential unless required by law.

These Terms are governed by the laws of England and Wales.

Any disputes shall fall under the jurisdiction of UK courts.
